Air Canada announces proposed private offering of senior secured notes

MONTREAL, July 20 /CNW Telbec/ - Air Canada announced today that it is planning, subject to market and other conditions, a private offering of US$900 million in aggregate principal amount of senior secured notes due 2015 to be issued in separate series denominated in US dollars and Canadian dollars. Upon successful completion of the offering, Air Canada intends to use the net proceeds for the repayment of all indebtedness under Air Canada's secured term credit facility entered into in July 2009 and would use any remaining net proceeds for general corporate purposes.

The notes will be senior secured obligations of Air Canada, guaranteed on a senior secured basis by certain of Air Canada's subsidiaries, and secured on a first-lien basis, subject to certain permitted liens, by accounts receivable of Air Canada and the guarantors, certain real estate interests, certain spare engines, ground equipment, certain airport slots and gate leaseholds, and Air Canada's Pacific routes and the airport slots and gate leaseholds utilized in connection with these Pacific routes.

The notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements of the Securities Act. The notes have not been and will not be qualified for sale to the public under applicable Canadian securities laws and any offer and sale of the notes in Canada will be made on a basis that is exempt from the prospectus requirement of such securities laws.
